These Terms of Service ("Terms") govern your access to and use of the Charity Prep website and services. Please read these Terms carefully before using our services.

Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Description of Services

Charity Prep provides online tools to help charities in England and Wales track and manage information required for their Annual Return to the Charity Commission. Our services include safeguarding tracking, overseas activity logging, fundraising methods tracking, and other related features.

Account Registration

To use our services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Subscription and Payments

Charity Prep offers subscription-based services. By subscribing to our services, you agree to pay the applicable fees as they become due. All fees are exclusive of taxes, which you are responsible for paying.

Subscriptions automatically renew unless cancelled at least 30 days before the end of the current billing period. You can cancel your subscription at any time through your account settings or by contacting us.

Free Trial

We may offer a free trial of our services. At the end of the free trial period, you will be automatically charged the applicable subscription fee unless you cancel before the end of the trial period.

User Content

You retain all rights to any content you submit, post, or display on or through our services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display the User Content in connection with providing our services to you.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights to post the User Content and that doing so does not violate any third-party rights.

Intellectual Property

Our services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limitation of Liability

In no event will we, our affiliates, or our licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our services, including any direct, indirect, special, incidental, consequential, or punitive damages.

Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

Termination

We may terminate or suspend your account and access to our services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of our services following the posting of revised Terms means that you accept and agree to the changes.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
